  • Listing of stocks, fund certificates, covered warrants, non-voting depository certificates and other financial products.
  • Debt instrument listing table.
  • Corporate bond listing table.
  • Derivative securities listing table.

Application for registration of stock listing

The application file for stock listing registration is specified in Article 110 of Decree 155/2020/ND-CP and is divided into two cases:

For companies offering shares to the public for the initial public offering or equitized enterprises, the stock listing registration dossier includes:

  • Share listing registration form according to the prescribed form.
  • Listing prospectus.
  • Certificate of offering registration from the State Securities Commission or report on results of public securities offering of the organization registering for listing or decision approving the Equitization Project.
  • Decision of the General Meeting of Shareholders approving the listing of shares.
  • Shareholder registration book, accompanied by a list of major shareholders, strategic shareholders, and insiders.
  • Commitment of internal shareholders to hold shares for a certain period of time.
  • Listing consulting contract with securities company (if any).
  • Certificate of Vietnam Securities Depository and Clearing Corporation (VSD) that the shares have been centrally registered.
  • Business registration certificate, Establishment and operation license or legal documents of equivalent value.
  • Financial statements for 02 years immediately preceding the year of listing registration of the organization registering for listing.

Profile of the company traded on the UpCOM system

For companies that have traded on the UpCOM system for at least 02 years, the stock listing registration application is more simplified, including:

  • Certificate of stock listing registration.
  • Shareholder registration book, accompanied by a list of major shareholders, strategic shareholders, and insiders.
  • Commitment of internal shareholders to holding shares.
  • Listing consulting contract (if any).
  • Business registration certificate.
  • Financial statements for 02 years immediately preceding the year of listing registration of the organization registering for listing.
  • Decision of the General Meeting of Shareholders approving the listing.
  • Listing prospectus.

Procedures for registering a company listed on the stock exchange

According to Article 111 of Decree 155/2020/ND-CP, the procedure for securities listing registration is as follows:

  • Submit application: The organization registering for listing submits the application for securities listing registration to the Stock Exchange.
  • Document appraisal: Within 30 days from the date of receipt of valid documents, the Stock Exchange will evaluate the documents and make a decision to approve or refuse listing. In case of refusal, the Stock Exchange must respond in writing and clearly state the reason.
  • Putting securities into trading: Within 90 days from the date of approval for listing, the organization registering for listing must put securities into trading on the Stock Exchange.
