Document components need to be prepared

Currently, the composition of business registration documents is specifically regulated in Decree No. 01/2021/ND-CP, this composition depends on the type of business that customers choose. To register an online business, you need to prepare the following documents:

Business registration documents for private enterprises:

  1. Application for business registration.
  2. Copies of personal legal documents for private business owners.

Business registration documents for a partnership include:

  1. Application for business registration.
  2. Company charter.
  3. List of members.
  4. Copies of the following documents:
  • Personal legal documents for company members who are individuals; Legal documents of the organization for company members that are organizations; Legal documents of the individual for the authorized representative and document appointing the authorized representative.
  • For members that are foreign organizations, copies of the organization’s legal documents must be consular legalized.
  • Certificate of investment registration in case the enterprise is established or co-established by a foreign investor or an economic organization with foreign investment capital according to the provisions of the Law on Investment and its implementing documents.

Business registration documents for limited liability companies with two or more members or joint stock companies:

  1. Application for business registration.
  2. Company charter.
  3. List of members for limited liability companies with two or more members; List of founding shareholders and list of shareholders who are foreign investors for joint stock companies.
  4. Copies of the following documents:
  • Legal documents of the individual for the legal representative of the enterprise;
  • Personal legal documents for company members, founding shareholders, and shareholders who are foreign investors who are individuals; Legal documents of the organization for members, founding shareholders, shareholders who are foreign investors being organizations; Legal documents of individuals for authorized representatives of members, founding shareholders, shareholders who are foreign investors who are organizations and documents appointing authorized representatives;
  • For members and shareholders who are foreign organizations, copies of the organization’s legal documents must be consular legalized;
  • Certificate of investment registration in case the enterprise is established or co-established by a foreign investor or an economic organization with foreign investment capital according to the provisions of the Law on Investment and its implementing documents.

Business registration documents for a one-member limited liability company:

  1. Application for business registration.
  2. Company charter.
  3. Copies of the following documents:
  • Legal documents of the individual for the legal representative of the enterprise;
  • Personal legal documents for company owners who are individuals; Legal documents of the organization for the company owner being an organization (except in cases where the company owner is the State); Legal documents of the individual for the authorized representative and document appointing the authorized representative.
  • For company owners who are foreign organizations, copies of the organization’s legal documents must be consular legalized;
  • Investment registration certificate in case the enterprise is established by a foreign investor or an economic organization with foreign investment capital according to the provisions of the Law on Investment and its guiding documents.

Note: In case the enterprise authorizes another person to submit the application, it must also prepare a Power of Attorney and a true copy of the authorized person’s legal documents in case of authorizing another person to submit the application.

Registration procedures need to be done

According to the provisions of Article 32 and Article 33 of Decree No. 01/2021/ND-CP, the online business registration process includes detailed steps:

Step 1: Accessing the National Information Portal on business registration, individuals create accounts and verify business information.

Step 2: Upload profile: Individuals registering business online update electronic profiles and authenticate documents (using digital signature or account).

After submitting the application, the individual must pay the prescribed fee.

Step 3: Document appraisal: The Business Registration Office issues the Business Registration Certificate, within 03 working days from the date of receipt of valid documents.

In case the dossier is invalid or the name of the enterprise requested for registration is not in accordance with regulations, the Business Registration Office must notify in writing the content that needs to be revised or supplemented to the enterprise founder or enterprise within 03 working days from the date of receiving the dossier.

The Business Registration Office records all requests for amendments and supplements to business registration documents for each set of documents submitted by the enterprise in a Notice of request for amendments and supplements to business registration documents.

The enterprise shall amend and supplement records within the time period specified in the notice requesting amendment and supplementation of records (if any). If the prescribed time limit expires but the enterprise does not amend or supplement the dossier, the original dossier will of course be canceled.

Step 4: Receive results via email, by post or directly at the Business Registration Office.
