Note: For private enterprises operating under an Investment License, Investment Certificate (also a business registration certificate) or documents of equivalent legal value, the enterprise must carry out procedures to register representative office operations as prescribed in Article 97 of Decree 01/2021/ND-CP dated January 4, 2021 of the Government.
According to the provisions of Articles 31 and 32 of Decree 01/2021/ND-CP, the process of registering to operate a representative office of a private enterprise is carried out according to the following steps:
Step 1: Prepare documents to register the operation of private enterprise representative offices.
Records must ensure completeness and accuracy of information and documents as required. Businesses need to carefully check the information in the form and ensure the validity of the attached documents.
Step 2: Submit application for registration of representative office operations at the Business Registration Office where the representative office is located.
Private enterprises can choose to submit applications directly at the Business Registration Office or submit documents electronically using digital signatures or Business Registration Accounts.
Step 3: The Business Registration Office receives and checks the validity of the dossier within 03 working days from the date of receiving the valid dossier as prescribed in Clause 3, Article 31 of Decree 01/2021/ND-CP.
Step 4: In case the dossier is not valid, the Business Registration Office will notify the enterprise in writing of the content that needs to be amended or supplemented. At that time, the enterprise needs to supplement and amend documents as required and submit them to the Business Registration Office;
Step 5: Receive the Certificate of registration of representative office operations within 03 working days from the date the Business Registration Office receives the valid dossier.
After being granted the Certificate, the representative office of the private enterprise is officially allowed to operate according to the registered scope and functions.
Note: For the establishment of representative offices of private enterprises abroad, according to Clause 4, Article 31 of Decree 01/2021/ND-CP, the establishment of representative offices must comply with the provisions of the law of the host country.
Within 30 days from the date of officially establishing a representative office abroad, the enterprise must notify in writing the Business Registration Office where the enterprise has its head office, along with a copy of the Certificate of Registration of Representative Office Operations or equivalent documents.

According to the provisions of Clause 3, Article 31 of Decree 01/2021/ND-CP dated January 4, 2021 of the Government, the deadline for granting a Certificate of registration of operation of private enterprise representative offices is 03 working days from the date the business registration agency receives the valid dossier.
In case the dossier is deemed invalid, the Business Registration Authority will request additional amendments. The time limit for businesses to submit amendments and supplements is 60 days from the date of first submission.
The business registration agency will issue a representative office operation registration certificate within 03 days from the date of receipt of a valid dossier.
