Currently, Decree 96/2024/ND-CP regulates a number of lease-purchase contracts for construction works. Below, Long Phan will introduce these types of models with instructions for use.

1. The first type is the form of the sales contract, the lease purchase contract for construction floor area in construction works in Appendix III attached to Decree No. 96/2024/ND-CP dated July 24, 2024 of the Government.

In this type, there are also two contract forms: a contract form with content applicable to the sale, lease and purchase of construction floor area in construction works serving tourism and accommodation purposes (Form No. IIIa); and a contract form with content applicable to the sale, lease and purchase of construction works with functions serving tourism and accommodation purposes (Form No. IIIb).

  • When using Form IIIa, you need to fully and accurately write down the date of signing the contract, legal basis and other grounds (if any), personal information of the seller/lessor and buyer/lessee, contents related to the characteristics of the construction floor area in a construction project that has the function of serving tourism and accommodation purposes to be purchased, sold/lease-purchased, records and legal documents Related legal issues, selling price/rental price, financial obligations, rights and obligations of the parties.
  • When using Form No. IIIb, in addition to the information that needs to be filled in as in Form No. IIIa, you need to note that the object of the contract is a construction project with the function of serving tourism and accommodation purposes, so it is suitable. The contract must represent the area and price of a project instead of just a part of the area as above.

2. The second type is the form of Sales Contract, Lease Purchase Contract of construction floor area in construction works in Appendix V attached to Decree No. 96/2024/ND-CP dated July 24, 2024 of the Government.

In this type, there are also two contract forms: a contract form with content applicable to leasing and purchasing the construction floor area in construction projects serving the purposes of education, health care, sports, culture, etc. office, commercial, service, industrial and construction works with mixed service functions (Model No. Va); and contract form with content applicable to lease and purchase of construction works with functions serving the purposes of education, healthcare, sports, culture, office, commerce, services, industry and construction works. The building has mixed service functions (Model No. Vb).

  • When using Form No. Va, in addition to the information that must be filled out, the parties need to clearly and specifically understand the uses recorded in the approved planning and design documents of the Building according to regulations law. For example, if the purpose of the lease purchase is to use the construction floor area in a construction project for educational purposes, the contract must clearly state in Point d, Clause 1, Article 2. In addition, the parties should also pay attention to agreeing on factors that may affect the implementation of the contract such as force majeure events and contract violations.
  • When using Form No. Vb, the object of the contract is not a part of the area anymore but the whole project, so when signing, the purpose of the lease purchase needs to be agreed and clearly state the area used for the construction project. Whatever the specific function of the building, the rental price must also include the value of land use rights, VAT (if the Seller/Lease-Purchase is subject to paying VAT) and maintenance costs (if any). Besides, the parties must also pay attention to the project construction progress on the construction site.
