1. General conditions: Traders providing logistics services must meet the legal regulations for each specific type of service listed in Article 3 of the Decree.

2. Doing business via electronic means: Traders using the Internet, mobile telecommunications or open networks to perform logistics services, in addition to complying with legal regulations for each service, must also meet e-commerce regulations.

3. Conditions for foreign investors: Foreign investors from WTO member countries can participate in logistics services business in Vietnam but must meet the following requirements:

  • Sea transportation: Foreign investors can contribute capital and buy shares in shipping companies but the capital contribution ratio must not exceed 49%. The total number of foreign crew members must not exceed 1/3 of the ship’s personnel. The captain or deputy captain must be a Vietnamese citizen.
  • Container handling (sea transport): The capital contribution ratio of foreign investors must not exceed 50%. It is possible to establish a commercial presence in Vietnam in the form of a business cooperation contract.
  • Container handling (multimodal transport): The capital contribution ratio of foreign investors must not exceed 50%.
  • Customs clearance services (sea transport support): Foreign investors can contribute capital, buy shares in an enterprise, have capital contributions from domestic investors, or establish a commercial presence in the form of a business cooperation contract.
  • Services for checking bills of lading, transport brokerage, and goods inspection: Foreign investors can contribute capital and buy shares in enterprises with capital contributions from domestic investors.
  • Inland waterway and rail transport: Foreign investors can contribute capital but the ratio must not exceed 49%.
  • Road transport: Foreign investors can contribute a maximum of 51%. 100% of drivers must be Vietnamese citizens.
  • Air transport: According to the provisions of aviation law.
  • Technical analysis and inspection services: Providing services under the authority of the Government must have domestic capital. Vehicle inspection services are not provided.

4. International treaties: If there is another international treaty regulating logistics service business conditions, foreign investors can choose to apply that treaty.

Registration documents
