Where must the changing business location of the company be registered?

Pursuant to Article 62 of Decree 01/2021/ND-CP, changing the business location of the company, registration procedures must be carried out at the following agencies:

• Before registering to change the address of a branch or representative office, leading to a change in the management tax authority, the enterprise must carry out tax procedures with the tax authority related to the relocation according to the provisions of tax law.
• Then, the enterprise sends a Notice of change in the content of registration of branch operations, representative offices, and business locations to the Business Registration Office where the branch, representative office, and business location is located.
• In case of moving the address of a branch, representative office, or business location to another province or centrally run city where the branch, representative office, or business location is registered, the enterprise shall send a Notice of change in the content of registration of branch, representative office, or business location to the Business Registration Office where the branch, representative office, or business location is moved.

Fees when carrying out procedures of changing business location

According to the provisions of Circular 47/2019/TT-BTC, to make changes to the content on the Certificate of Business Registration, businesses need to pay a fee of 50,000 VND for each implementation.

Procedures for registering the changing business location of the company

According to Article 62 of Decree 01/2021/ND-CP and Decision 885/QD-BKHDT, documents required for registering the changing business location of a business include:

1. Notice of change in the registration content of branches, representative offices, and business locations. In case of changing the head of a branch or representative office, the notice must be accompanied by a copy of the personal legal documents of the head of the branch or representative office;

2. Written request to supplement and update information on registration of branch operations, representative offices, and business locations;
3. Copy of the Branch and Representative Office Operation Registration Certificate issued by the Investment Registration Authority in case the branch or representative office operates under this Certificate;
4. Copy of Tax registration certificate of branch or representative office.

Execution order

Step 1: Submit application

Enterprises need to submit documents to change business addresses at the Business Registration Office of the Department of Planning and Investment where the enterprise is located.

Step 2: Receive and process documents

• After receiving the application, the Business Registration Office will issue a Receipt, check the validity of the application, and issue a Confirmation of change in business location registration content as well as other related documents, in accordance with the provisions of Decree No. 01/2021/ND-CP.
• Processing time is 03 working days from receipt of complete and valid documents.

Step 3: Notice of change to new business address

Enterprises need to notify the new address to relevant agencies and partners, including social insurance, banks, suppliers, customers,… to update information.
