What is a business license? When is the re-issue of a business license required?

Business license (or Business registration certificate for enterprises, Business household registration certificate for business households) is a legal document issued by a competent state agency to an enterprise/business household, allowing the enterprise/business household to conduct business activities.

Business licenses are reissued in the following cases:

  1. For businesses:
  • Lost or damaged business license: The license is lost, misplaced, burned, torn or damaged, or destroyed due to other objective causes.
  • Changing information on the business license: The enterprise changes its name, head office address, business lines, legal representative…
  • Competent state agencies request re-issuance.
  1. For business households:
  • The business household registration certificate is lost, burned, torn, crushed or destroyed in another form.
  • The business household registration certificate was issued without the correct documents, order and procedures.
  • The business household registration certificate is issued on the basis that the information declared in the business household registration dossier is dishonest and inaccurate.

Procedures for re-issue of business license

Procedures for reissuing a business license are carried out in accordance with the provisions of the Law on Enterprise 2020 and its guiding documents. Specifically as follows:

For businesses

Pursuant to the provisions of Article 68 of Decree 01/2021/ND-CP, the procedure for applying for re-issue of business license (or business registration certificate) includes the following steps:

Step 1: Prepare documents:

  • Application for re-issuance of Business Registration Certificate (according to the prescribed form).
  • Copy of issued Business Registration Certificate (if any).
  • Other documents related to information changes (if any).

Step 2: Submit application:

  • Submit your application in person or online (via the National Business Registration Portal).
  • Pay the prescribed fees.
  • Processing time is 03 working days from the date of receipt of complete and valid documents.

Step 3: Get results:

  • Receive a new Business Registration Certificate at the business registration agency.

For business households

Pursuant to the provisions of Article 94 of Decree 01/2021/ND-CP, the procedure for reissuing the business household registration certificate includes the following steps:

Step 1: Prepare documents:

  • Application for re-issuance of Business Household Registration Certificate (according to the form prescribed in Appendix III – 6 (Circular 02/2023 TT-BKHDT)).
  • Copy of issued business household registration certificate (if any).
  • Other documents related to information changes (if any).

Step 2: Submit application:

  • Submit application directly to the district People’s Committee.
  • Pay fees according to regulations.
  • Processing time is 03 working days from the date of receipt of complete and valid documents.

Step 3: Get results:

  • Receive new business household registration certificate.

Note:

In case of re-issuance due to the Certificate of business household registration being issued with incorrect documents, the order, procedures and re-issuance procedures are prescribed as follows:

  • In case the Certificate of Business Registration is issued not in accordance with the prescribed procedures, the district-level Business Registration Authority shall send a notice to the business household and re-issue it in accordance with the prescribed procedures;
  • In case the business household registration certificate is issued with incorrect documents as prescribed, the district-level business registration authority shall notify that the business household registration certificate issued with incorrect documents as prescribed is invalid, and request the business household to complete and submit valid documents as prescribed within 30 days from the date of sending the notice to be considered for issuance of the business household registration certificate. The business household may combine the legal changes of subsequent registrations in one set of documents to be issued a new registration change;
  • In case of granting a certificate of change in the contents of a business household registration that does not comply with the prescribed dossier, the district-level business registration authority shall notify that the Certificate of Business Household Registration issued on the basis of the dossier that does not comply with the prescribed dossier is invalid, and at the same time, issue a Certificate of Business Household Registration based on the most recent valid dossier. The district-level business registration authority shall send a notice requesting the business household to complete and submit a valid dossier as prescribed within 30 days from the date of sending the notice to be considered for granting a Certificate of Business Household Registration. The business household may combine the legal changes of subsequent registration changes in one dossier to be granted a new registration change.

In case of re-issuance because the Business Household Registration Certificate is issued on the basis of the information declared in the business household registration dossier being dishonest or inaccurate, the re-issuance procedure is as follows:

  • In case the information declared in the business registration dossier is dishonest or inaccurate, the district-level business registration authority shall notify the competent state agency to handle it in accordance with the provisions of law, and at the same time notify that the Business Registration Certificate issued on the basis of the registration dossier containing dishonest or inaccurate information is invalid, and request the business household to complete and resubmit the dossier as prescribed within 30 days from the date of sending the notice to be considered for issuance of the Business Registration Certificate. The business household may combine the legal changes of subsequent registrations in one dossier to be granted a new change registration.
  • In case the business household does not complete and resubmit the dossier as prescribed, the district business registration agency requires the business household to report as prescribed in Clause 6, Article 16 of Decree 01/2021/ND-CP;
  • In case the information declared in the registration dossier for change of business household registration content is dishonest or inaccurate, the district-level business registration authority shall notify the competent state agency for handling in accordance with the provisions of law, and at the same time notify that the Business Household Registration Certificate issued on the basis of the registration dossier containing dishonest or inaccurate information is invalid and shall issue the Business Household Registration Certificate on the basis of the most recent valid dossier. The district-level business registration authority shall notify the business household to complete and resubmit the dossier as prescribed within 30 days from the date of sending the notice to be considered for issuance of the Business Household Registration Certificate. The business household may combine the legal changes of the subsequent registrations and change notifications in one dossier to be issued a new change registration.

In case a business household is granted a new Business Household Registration Certificate, the previous Business Household Registration Certificate is no longer valid.
