  • Use digital signatures in accordance with the law on electronic transactions;
  • Records include electronic documents in “.doc”, “.docx” or “.pdf” format;
  • Submit via the Business Registration Portal;
  1. Register with Business Registration Account:
  • Account issued by the National Information System for Business Registration;
  • Each individual is only granted one account;
  • The account holder is responsible for the accuracy and legality of the registration information;

What does a business registration application via an electronic information network include?

Business registration documents via electronic information network need to meet the requirements as prescribed in Clause 3, Article 43 of Decree 01/2021/ND-CP. Profile components include:

For private enterprises:

  • Application for business registration.
  • Copies of personal legal documents for private business owners.

For single-member limited liability companies:

  • Application for business registration.
  • Company charter.
  • Legal documents of the legal representative of the enterprise (copy).
  • Legal documents of the company owner; legal documents of the authorized representative and document appointing the authorized representative (copy).
  • Investment registration certificate if the enterprise is established by a foreign investor or economic organization with foreign investment capital (copy).

For limited liability companies with two or more members, joint stock companies:

  • Application for business registration.
  • Company charter.
  • List of members (limited liability company with two or more members) or list of founding shareholders and list of shareholders who are foreign investors (joint stock companies).
  • Copies of legal documents of the legal representative of the enterprise.
  • Copies of legal documents of company members, founding shareholders, and shareholders who are foreign investors; Legal documents of the authorized representative of the member, founding shareholder, shareholder of the foreign investment organization and document appointing the authorized representative.
  • Copy of investment registration certificate if the enterprise is established or participates in the establishment by foreign investors or economic organizations with foreign investment capital.

For Partnership Companies:

  • Application for business registration.
  • Company charter.
  • List of members.
  • Copies of legal documents of company members, authorized representatives and documents appointing authorized representatives.
  • Copy of investment registration certificate in case the enterprise is established or participates in the establishment by foreign investors or economic organizations with foreign investment capital.

Records must be authenticated by digital signature or Business Registration Account. Information declared on the National Business Registration Portal must be complete and accurate. The name of the electronic document must correspond to the name of the document type in the paper file.

Note: The person competent to sign the business registration request document can authorize organizations and individuals to carry out online business registration procedures. In this case, the enterprise must prepare additional authorization documents for the individual or organization and legal documents of that individual or organization.

The business registration process using digital signatures is specified in Article 44 of Decree 01/2021/ND-CP. This process includes the following main steps:

Step 1: Declare information and download documents

  • Applicants access the National Information Portal on business registration;
  • Declare full information as requested;
  • Upload required electronic documents;
  • Sign and authenticate documents with a digital signature.

Step 2: Pay fees and charges

  • Make payment for business registration fees and charges online;
  • Receive a receipt for business registration documents online.

Step 3: Process documents

  • The Business Registration Office receives and reviews documents;
  • If the application meets the conditions: Issue a Business Registration Certificate;
  • If the application does not meet the conditions: Send a notice requesting amendments and supplements;

The business registration process using the Business Registration Account is specified in Article 45 of Decree 01/2021/ND-CP. This process is similar to the process of using a digital signature, with some differences:

  • Sign documents to authenticate using a Business Registration Account.

Note: In case of authorization to carry out procedures, the authorization document must have the contact information of the authorizer to authenticate the submission of documents.
